Recommended — Flow-Down Terms
These are terms from the Company to you, our customer. We recommend you flow equivalent terms down to your own end users so the contractual chain stays protected end to end. Adoption is your choice; this template is provided as a sensible starting point.
1. Pass-Through Obligations
You should require your end users to comply with obligations equivalent to those you owe us — including acceptable use, intellectual property protection, and data protection.
2. Liability & Indemnity
Consider mirroring the liability caps and indemnities in your own end-user agreements so risk is allocated consistently along the chain.
3. Data Protection
Where you act as a controller for your end users' data, ensure your agreements cover the processing we carry out on your behalf under our DPA.
4. Termination & Survival
Align termination and survival provisions so that the protections in this chain are not lost when any single agreement ends.
